2. Engagement & Payment Terms
- Project pricing, retainer fees, and payment schedules are defined in each Statement of Work.
- Invoices are payable in U.S. dollars within the timeframe specified on the invoice (typically Net 14).
- Late payments may incur a service charge and may result in suspension of work.
- Third-party costs (e.g., ad spend, software, stock media) are invoiced separately or pre-funded by the client.
3. Client Responsibilities
You agree to provide timely access to information, approvals, and assets reasonably required to deliver the engaged services. Delays caused by client unresponsiveness may impact timelines and fees.
4. Intellectual Property
- Upon full payment, you receive a license to use the final deliverables created specifically for your project for their intended business purpose.
- We retain ownership of all underlying tools, frameworks, processes, and pre-existing IP we use in delivering services.
- We may showcase non-confidential work in our portfolio and marketing materials unless otherwise agreed in writing.
5. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement and to use it only for purposes of performing the services.
6. Limitation of Liability
To the fullest extent permitted by law, our total liability arising out of or relating to any engagement is limited to the fees paid by you for the specific services giving rise to the claim in the three (3) months preceding the event. We are not liable for indirect, incidental, special, consequential, or punitive damages.
7. Marketing Disclaimer
While we apply best practices and our experience to deliver quality work, we do not guarantee specific marketing results, rankings, conversions, or revenue outcomes. Marketing performance depends on many factors outside our control.
8. Termination
Either party may terminate an engagement in accordance with the notice provisions in the relevant Statement of Work. Fees accrued through the termination date remain due.
9. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Philadelphia County, Pennsylvania.
10. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date reflects the latest revision.
